Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you, the customer facility ("Customer"), and Epithel Care, LLC, doing business as Epithel ("we", "us"). By creating an account or accessing the service, you accept these Terms on behalf of yourself and your facility.

2. The service

Epithel provides a skin and wound rounding workflow tool for skilled nursing facilities, including resident registries, wound assessments, photo capture, care-plan suggestions, and supplies tracking. The service is a software tool. It does not provide medical advice and does not replace clinical judgment.

3. Eligibility & user accounts

Accounts may be created only by licensed clinicians or facility administrators acting within the scope of their license and facility policies. Each user must keep credentials confidential and is responsible for activity under their account.

4. Subscription, billing & taxes

Epithel is licensed per facility at $80 USD per facility per month, billed monthly in advance. Sales tax, VAT, or GST is calculated at checkout. Subscriptions renew automatically; you may cancel at any time from the billing portal. Access continues through the end of the paid period; no prorated refunds are issued.

5. Acceptable use

You agree not to (a) use the service for any unlawful purpose; (b) attempt to reverse-engineer or circumvent security controls; (c) upload malicious code; (d) enter PHI of individuals to whom you do not have a treatment, payment, or operations relationship; or (e) use the service to make autonomous clinical decisions without human clinician review.

6. PHI & HIPAA

Epithel operates as a HIPAA Business Associate when handling Protected Health Information on behalf of Covered Entity customers. A Business Associate Agreement (BAA) is incorporated by reference; see the BAA Notice. The Customer remains the Covered Entity and is responsible for obtaining required patient authorizations.

7. Data ownership & export

Customer data — residents, wounds, photos, assessments, care plans — remains the property of the Customer. Customers may export data at any time. On cancellation, data is retained for 90 days for re-activation, then permanently deleted within 30 days of the retention window expiring.

8. Service availability

We use commercially reasonable efforts to keep the service available 24/7 but do not guarantee uninterrupted service. Scheduled maintenance windows will be announced when possible.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPITHEL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EPITHEL IS NOT A MEDICAL DEVICE AND DOES NOT MAKE DIAGNOSES OR TREATMENT DECISIONS.

10. Limitation of liability

EPITHEL'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Indemnification

Customer will indemnify Epithel against third-party claims arising from Customer's misuse of the service or breach of Sections 5 or 6.

12. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes will be resolved by binding arbitration in Wilmington, Delaware, except either party may seek injunctive relief in court for IP or confidentiality matters.

13. Changes

Material changes will be communicated by email at least 30 days in advance. Continued use after the effective date constitutes acceptance. Version history is captured in each user's acceptance record.
